Our client is seeking a corporate associate with 3–5 years of experience to advise growth companies, investors, and other clients on alternative entity matters in Wilmington, Delaware. The practice handles the full lifecycle of limited liability companies, limited partnerships, and statutory trusts, while collaborating with broader M&A, emerging markets, and public company practices.
The Work
- Advise clients on alternative entity matters from initial formation through governance, reorganization, dissolution, and liquidation.
- Analyze fiduciary duty questions and statutory issues affecting limited liability companies, limited partnerships, and statutory trusts.
- Support corporate restructurings, mergers and acquisitions, equity issuances, and financings for investors and private and public companies.
- Work with clients on entity matters at different stages of business growth, communicating legal analysis and practical guidance clearly.
- Collaborate with colleagues across M&A, emerging markets, and public company practices on matters that intersect with alternative entity work.
What You Bring
- Three to five years of law firm experience advising on a range of alternative entity matters.
- Experience addressing alternative entity issues across formation, governance, reorganization, and dissolution.
- Strong analytical, written, and interpersonal skills, including the ability to communicate clearly with clients and colleagues.
- A self-starter who contributes effectively in a collaborative environment and is prepared to take on meaningful responsibility early.
- Excellent academic credentials.
- Admission to practice in Delaware, or willingness to sit for the Delaware bar within the first year with the group.

Compensation & Benefits
The stated salary range is $260,000–$365,000, based on year classification, and discretionary merit bonuses may be awarded.
