Our client is accepting applications for 2027 associate positions in its New York City Restructuring & Special Situations practice. This opportunity is designed for attorneys pursuing or completing a qualifying judicial clerkship and interested in complex, consequential financial and operational restructurings.
The Work
- Help advise stakeholders in financially distressed businesses, including debtors, issuers, creditors, equity holders, new investors, boards of directors, and senior management.
- Contribute to strategies for complex restructuring and insolvency matters involving multi-layered capital structures and competing stakeholder interests.
- Work on in-court and out-of-court solutions, including creditor compromise procedures, security enforcements, debt rescheduling, and liability management transactions.
- Assist with exchange and tender offers, refinancings, new-money and distressed financings, debt-to-equity swaps, and equity capital raises.
- Support strategic and distressed M&A transactions and address financial and operational restructuring issues, including matters with cross-jurisdictional dimensions.
- Work with companies and boards on corporate governance risks, fiduciary considerations, and stakeholder negotiations in stressed or distressed situations.
- Collaborate with colleagues across tax, M&A, private equity, capital markets, employment and benefits, and debt finance practices.
What You Bring
- At least one year of relevant experience; candidates with approximately 1–2 years of experience are encouraged to apply.
- A qualifying judicial clerkship, completed or in progress, for a 2027 associate position.
- Experience or demonstrated interest in U.S. Bankruptcy Court practice and restructuring or insolvency matters.
- Ability to analyze financial and operational restructuring issues and complex capital structures.
- Strong legal research, writing, and analytical skills suited to contentious and transactional matters.
- Capacity to work collaboratively across practices and engage thoughtfully with clients and varied stakeholder groups.
