Position overview

Our client is seeking a mid-level associate with 3–6 years of experience to join its Intellectual Property Transactions & Strategies practice in Boston. The role combines technology and intellectual property transactions with IP support for M&A and other corporate matters.

The Work

  • Draft and negotiate technology and intellectual property licenses, services agreements, and software-as-a-service agreements.
  • Support M&A and other corporate transactions by analyzing IP and technology issues and conducting related due diligence.
  • Prepare and negotiate joint development, collaboration, and other strategic alliance agreements.
  • Handle distribution arrangements, including OEM, VAR, and other reseller agreements.
  • Advise on open-source software license terms and intellectual property issues presented by AI technologies and tools, where relevant to the matter.

What You Bring

  • Three to six years of experience in technology and intellectual property licensing and other technology transactions.
  • Experience supporting M&A and other corporate transactions on IP matters, including IP and technology due diligence.
  • Demonstrated drafting and negotiation experience with joint development, collaboration, and strategic alliance agreements.
  • Experience preparing and negotiating technology and IP licenses, services agreements, and SaaS agreements.
  • Experience with distribution agreements, including OEM, VAR, or other reseller arrangements.
  • Experience with open-source software license terms and AI-related IP issues is strongly preferred.

Compensation & Benefits

The supplied base compensation figure is an estimate of $260,000–$390,000 and is not a firm-stated range.
