Our client is seeking a mid-level associate with 3–6 years of experience to join its Intellectual Property Transactions & Strategies group in New York City. The role focuses on technology and intellectual property transactions, agreement drafting and negotiation, and IP support for M&A and other corporate deals.
The Work
- Draft and negotiate technology and intellectual property licenses, services agreements, and software-as-a-service agreements.
- Prepare and negotiate joint development, collaboration, and other strategic alliance agreements.
- Draft and negotiate distribution arrangements, including OEM, VAR, and other reseller agreements.
- Provide intellectual property and technology due diligence support in M&A and other corporate transactions.
- Address open-source software license terms and intellectual property issues involving artificial intelligence technology and tools, where experience permits.
What You Bring
- Three to six years of experience in technology and intellectual property licensing and other technology transactions.
- Experience drafting and negotiating technology and IP license and services agreements, including SaaS agreements.
- Experience with joint development, collaboration, and strategic alliance agreements.
- Experience with distribution agreements, including OEM, VAR, or other reseller arrangements.
- Experience providing IP support, including technology and intellectual property due diligence, for M&A or other corporate transactions.
- Demonstrated experience with open-source software license terms and AI-related intellectual property issues is strongly preferred.

Compensation & Benefits
Compensation information provided for the search is an estimated $260,000–$390,000 range based on the 2026 Cravath base scale; it is not firm-stated compensation.
