Position overview

Our client is seeking a junior associate with 3–6 years of experience to join its Strategic Technology Transactions and Licensing practice in Redwood City. The role combines technology and IP transactions with IP and technology support for M&A, venture financings and other corporate matters.

The Work

  • Draft and negotiate IP licenses and other technology transaction agreements, helping shape the terms of commercial and strategic relationships.
  • Prepare and negotiate customer agreements, including SaaS agreements, and support related commercial arrangements.
  • Work on channel partner agreements, including OEM, VAR and other reseller agreements.
  • Draft and negotiate collaboration and other strategic alliance agreements.
  • Provide IP support for M&A, venture financings and other corporate transactions, including IP and technology due diligence.
  • Contribute to matters involving a range of technology transactions and commercial work, with opportunities to build experience across different agreement types.
  • Engage with issues involving AI and open-source software as part of technology-focused transactional work.

What You Bring

  • 3–6 years of experience as an associate.
  • Some experience with, or a demonstrated interest in, technology transactions, IP or related commercial work.
  • Strong drafting skills and the ability to negotiate technology and IP agreements.
  • Strong analytical and organizational skills, with keen attention to detail.
  • Ability to manage multiple matters in a fast-paced environment.
  • Genuine curiosity about technology; familiarity with issues presented by AI and open-source software is strongly preferred.
