Position overview

Our client is seeking a junior associate with 3–6 years of experience to join its technology transactions and licensing practice in Los Angeles. The role involves drafting and negotiating IP and technology agreements and supporting IP matters in M&A, venture financings, and other corporate transactions.

The Work

  • Draft and negotiate IP licenses and other technology transaction agreements, helping clients structure and document commercial arrangements.
  • Prepare and negotiate customer agreements, including SaaS agreements, and address technology and IP terms tailored to the commercial relationship.
  • Work on channel partner arrangements, including OEM, VAR, and other reseller agreements, from drafting through negotiation.
  • Support collaboration and other strategic alliance agreements, addressing the rights and obligations involved in technology-based partnerships.
  • Assist with IP support for M&A, venture financings, and other corporate transactions, including technology and IP due diligence.
  • Manage multiple matters in a fast-paced practice and communicate with clients on agreement terms and transaction-related IP issues.

What You Bring

  • 3–6 years of experience as an associate, with experience in or a demonstrated interest in technology transactions, IP, or related commercial work.
  • Experience or interest relevant to drafting and negotiating technology and IP license agreements and commercial contracts.
  • Strong drafting and analytical skills, with the ability to assess and address complex contractual issues.
  • Strong organizational skills, close attention to detail, and the ability to manage multiple matters in a fast-paced environment.
  • Genuine curiosity about technology; familiarity with issues involving AI and open-source software is strongly preferred.

Compensation & Benefits

The estimated salary range is $260,000–$390,000, based on the 2026 Cravath base scale; this is an estimate and not firm-stated compensation.
