Position overview

Our client is seeking a Tax Associate with 3–4 years of transactional tax experience to join its Houston office. The role involves tax planning and analysis for complex corporate and partnership transactions, investments, and restructurings, with an in-person work requirement.

The Work

  • Negotiate and draft tax-related provisions in purchase agreements, merger agreements, partnership agreements, credit agreements, and other transaction documents.
  • Research complex tax issues and develop practical analysis to inform transaction planning and execution.
  • Help structure the tax aspects of corporate and partnership transactions, contributing to planning from analysis through documentation.
  • Support tax planning for mergers and acquisitions and private equity transactions.
  • Work on tax matters involving debt finance, bankruptcy and financial restructuring, special situations, and private credit, depending on experience and matter needs.
  • Advise on tax implications of business transactions, investments, and restructurings across domestic and cross-border matters.
  • Collaborate with a multidisciplinary tax team to develop strategic, practical solutions to sophisticated client tax challenges.

What You Bring

  • Three to four years of transactional tax experience.
  • Experience negotiating and drafting tax provisions in transaction documents, including purchase or merger agreements, partnership agreements, and credit agreements.
  • Experience researching complex tax issues and structuring the tax aspects of corporate and partnership transactions.
  • Transactional tax planning experience in one or more of mergers and acquisitions, private equity, debt finance, bankruptcy or financial restructuring, special situations, or private credit.
  • Strong academic credentials.
  • Large law firm experience or equivalent experience at a Big Four accounting firm.
  • Ability to work in person in the Houston office.
