Position overview

Our client is seeking a Tax Associate with 3–4 years of transactional tax experience to join its Dallas practice. The team advises on complex business transactions, investments, and restructurings, delivering practical tax solutions across domestic and cross-border matters.

The Work

  • Negotiate and draft tax-related provisions in purchase agreements, merger agreements, partnership agreements, and credit agreements.
  • Research complex tax issues arising in business transactions and develop practical analysis to support client advice.
  • Help structure the tax aspects of corporate and partnership transactions, including planning considerations throughout a deal.
  • Contribute to tax planning for matters involving mergers and acquisitions, private equity, debt finance, bankruptcy or financial restructuring, special situations, and private credit.
  • Work with a multidisciplinary tax team advising clients on sophisticated transactions, investments, and restructurings.
  • Work in person from the Dallas office, as required for this position.

What You Bring

  • 3–4 years of transactional tax experience.
  • Experience negotiating and drafting tax provisions in transaction documents, including purchase or merger agreements, partnership agreements, and credit agreements.
  • Experience researching complex tax issues and structuring the tax aspects of corporate and partnership transactions.
  • Transactional tax planning experience in one or more of mergers and acquisitions, private equity, debt finance, bankruptcy or financial restructuring, special situations, or private credit.
  • Strong academic credentials.
  • Large law firm experience or equivalent experience at a Big Four accounting firm.
  • Availability to work in person in Dallas.

Compensation & Benefits

The estimated base salary is $260,000–$310,000, based on the 2026 Cravath scale; this is an estimate, not firm-stated compensation.
