Position overview

Our client is seeking a Houston-based associate with 4–5 years of experience to join a fast-growing Asset-Based Finance and Securitization Practice. The role offers meaningful involvement in complex financings and securitizations and the opportunity to take on increasing responsibility as the practice continues to grow.

The Work

  • Work as a key member of deal teams structuring and executing traditional and bespoke asset-based financings and securitizations.
  • Draft transaction documents and help manage deals from structuring through execution, coordinating the work required to advance complex transactions.
  • Advise private credit and other investors on asset-based transactions, including financing structures tailored to varied collateral and investment needs.
  • Support originators and issuers seeking private capital through securitizations, warehouse financings and whole-loan sales.
  • Work across transactions involving consumer, commercial, infrastructure, hard-asset and esoteric asset classes.
  • Contribute to matters that require coordination of structuring, regulatory, tax and governance considerations across an integrated capital solutions team.
  • Engage with related areas including fund finance, special situations, investment management and private equity as transaction needs call for an interdisciplinary approach.

What You Bring

  • Four to five years of experience in structured finance, securitization and/or asset-based structured finance.
  • Substantive experience with structured finance transactions and the ability to contribute effectively to deal teams.
  • Experience drafting transaction documents and managing transaction workstreams as a key member of deal teams.
  • Experience with ABS, CLOs, CFOs and/or rated facilities is preferred.
  • Exposure to fund finance, special situation financings, out-of-court or in-court restructurings, and/or private credit transactions is helpful.
  • Demonstrated initiative, sound judgment and the ability to assume increasing responsibility in a demanding practice.
  • Admission in good standing to the bar of the state in which the candidate intends to practice.
  • Ability to work in person is required.
