Position overview

Our client is seeking an associate with at least two years of transactional experience to join a New York team handling sophisticated securities-linked financings, hedging strategies, and structured transactions. The work blends fast-moving deal execution with rigorous legal analysis.

The Work

  • Work closely with senior attorneys to structure and execute financing, hedging, and monetization transactions, including variable prepaid forwards, funded collars, covered calls, and margin loans.
  • Contribute to capital-raising matters involving convertible debt, convertible preferred equity, and issuer forwards.
  • Support structured repurchase transactions, including accelerated share repurchases and capped calls, as well as structured acquisitions such as long total return swaps.
  • Apply securities-law analysis and product knowledge to complex matters involving tax, secured-transactions, and bankruptcy considerations.
  • Work on matters for sophisticated clients that may include investment banks, corporations, buy-side funds, and ultra-high-net-worth individuals.
  • Collaborate with attorneys across a team with partners in London, Hong Kong, and Europe, supporting cross-border capabilities.

What You Bring

  • At least two years of legal experience in a transactional practice.
  • Experience with capital markets and U.S. securities laws and regulations is useful.
  • Experience with ISDA-based derivatives documentation is useful.
  • Experience with secured transactions or bankruptcy and restructuring is useful.
  • Derivatives experience is not required; candidates from a range of transactional backgrounds are encouraged to be considered.
  • Ability to engage with complex legal analysis and transaction structuring.
