Position overview

Our client is seeking a mid-level Finance associate to develop deep UCC and secured-transactions expertise in New York City. This role combines hands-on security documentation and client advice with work supporting attorneys across multiple practice areas.

The Work

  • Review security documentation for secured lending transactions and assess how the documents address personal-property security interests.
  • Advise clients on personal-property collateral issues and security-interest structures, building expertise in the application of the UCC.
  • Review security interest opinions and, where appropriate, draw on experience drafting and negotiating those opinions.
  • Handle matters involving Article 9 secured transactions and Article 8 investment securities.
  • Support Finance attorneys as well as attorneys in other transactional and non-transactional practice areas on UCC-related questions.
  • Monitor upcoming changes to the UCC and related laws, and help maintain the team's knowledge-management materials.

What You Bring

  • Four to six years of Finance experience, with solid law firm experience preferred.
  • Experience with various types of secured lending transactions.
  • Familiarity with security documentation and personal-property security interest issues and structures.
  • Familiarity with drafting and negotiating security interest opinions is preferred.
  • Interest or experience in UCC Article 9 secured transactions and Article 8 investment securities.
  • Ability to support lawyers across Finance and other transactional or non-transactional practices.
  • High level of academic achievement preferred.

Compensation & Benefits

The stated base salary range is $310,000–$390,000; the role may also be eligible for a discretionary year-end bonus.
