The Work
- Lead financing transaction execution and manage deal processes from documentation through closing, working with borrowers, lenders, sponsors, founders, and investment professionals.
- Draft and negotiate credit agreements, commitment papers, collateral documents, and related financing documentation.
- Advise on venture debt and growth capital facilities, as well as bilateral and syndicated credit facilities and acquisition financings.
- Work on recurring-revenue and cash-flow financings, asset-based and structured transactions, convertible and hybrid structures, subscription and NAV facilities, and warehouse or other specialty finance deals.
- Support cross-border financings and bespoke capital solutions for strategic investments, acquisitions, and other transformational transactions.
- Coordinate with corporate, tax, intellectual property, restructuring, executive compensation, and regulatory colleagues to develop practical financing structures.
- Contribute commercial judgment and creative thinking to matters where traditional lending models may not fit rapidly evolving industries.
- Mentor junior lawyers and participate in business development initiatives.
What You Bring
- Approximately 3–7 years of experience in banking, finance, leveraged finance, private credit, venture lending, or related financing transactions.
- Experience representing borrowers, lenders, sponsors, or investors in sophisticated financing matters.
- Strong drafting and negotiation capabilities, including experience with credit agreements and related financing documents.
- Ability to manage transaction processes and coordinate multiple parties and workstreams.
- Excellent project management, communication, and interpersonal skills.
- Outstanding academic credentials.
- California bar admission or eligibility for admission.
- Experience in acquisition finance, private credit, venture lending, structured finance, or fund finance is welcomed.
