A growing debt finance team in Nashville is seeking an associate to work on sophisticated financing matters for private equity sponsors, portfolio companies, and public and private companies. The practice is particularly active in middle-market private equity transactions and also represents private credit lenders in direct lending deals.
The Work
- Represent borrowers in senior and junior credit facilities, including syndicated loans, asset-based lending, and other complex credit arrangements.
- Work on acquisition financings for private equity sponsors and their portfolio companies, including financings connected to investments and changes of ownership.
- Advise on capital call facilities and equity-related financing structures.
- Contribute to healthcare finance, project financing, and sale/leaseback transactions for a range of borrowers.
- Handle intercreditor arrangements and senior, mezzanine, junior, and split-collateral credit financings.
- Support workouts and restructurings, and gain exposure to direct lending transactions through the team's representation of private credit lenders.
What You Bring
- Approximately 3–6 years of relevant legal experience, with a background in private equity debt finance.
- Experience with complex debt financing transactions, particularly middle-market private equity deals.
- Ability to analyze financing structures and work through transaction issues with care and sound judgment.
- Strong written, verbal, and interpersonal communication skills.
- Excellent academic credentials.
- Juris Doctor degree from an accredited law school.
- Active law license in good standing in a U.S. jurisdiction.
