Position overview

Our client is seeking a mid-level associate to advise on registered investment companies and business development companies in New York City. This opportunity offers exposure to varied fund structures, offerings, financing strategies, and regulatory matters within an established investment management practice.

The Work

  • Advise funds, fund sponsors, underwriters, and other service providers on the structuring and offering of registered investment companies, including closed-end funds, mutual funds, and ETFs.
  • Counsel clients on the ongoing operation and regulation of registered funds and business development companies under the 1940 Act.
  • Work on listed, non-traded, and privately offered closed-end funds and BDCs, including matters involving their boards of directors.
  • Support rights offerings for closed-end funds and preferred stock and other leveraging strategies for closed-end funds and BDCs.
  • Contribute to matters involving emerging registered and regulated investment company structures and strategies.
  • Coordinate with M&A colleagues on 1940 Act matters connected with asset manager transactions.

What You Bring

  • Approximately four years of relevant experience as a mid-level associate; candidates in the class years 2020–2022 are sought.
  • Experience advising on 1940 Act registered funds.
  • Experience with business development company matters.
  • Knowledge of registered investment company structures, offerings, operations, or regulation.
  • Strong academic achievement.
  • Experience in the investment management group of a peer firm is preferred.

Compensation & Benefits

The stated base salary range is $310,000–$390,000, and the position may be eligible for a discretionary year-end bonus.
