Our client is seeking a corporate associate to advise private businesses, investors, and founders on significant transactions and company matters. The role brings together middle-market deal work and the technology and startup ecosystem, with meaningful involvement throughout transactions and opportunities to build direct client relationships.
The Work
- Advise private companies, private equity sponsors, and other investors on middle-market transactions, including platform and add-on acquisitions, sale processes, joint ventures, and other strategic deals.
- Support transactions from structuring and due diligence through negotiation and closing, drafting and negotiating purchase agreements, financing documents, disclosure schedules, ancillary agreements, and closing materials.
- Coordinate diligence reviews and deal-team workstreams, and help management teams, sponsors, investors, and founders keep transaction timelines and deliverables on track.
- Advise emerging companies and venture capital funds on seed, Series A, and later-stage equity financings, including the preparation and negotiation of financing documentation.
- Counsel private companies, boards, and private equity portfolio companies on corporate governance and related corporate matters.
- Work with founders and emerging growth companies on entity formation, governance, and day-to-day legal needs throughout the company lifecycle.
- Collaborate with attorneys in related disciplines, including technology transactions, tax, employee benefits, employment, intellectual property, privacy and security, environmental, and real estate.
What You Bring
- One to five years of law-firm experience in corporate transactional work.
- Experience with mergers and acquisitions, venture financings, emerging companies, and general corporate matters is preferred.
- Strong drafting and negotiation skills, with the ability to prepare and work through complex transaction documents.
- Sound analytical and organizational abilities, including the capacity to coordinate due diligence and manage multiple matters and workstreams.
- Interest in transactional practice and in advising private companies, investors, and founders.
- Ability to work effectively in a fast-paced, team-oriented environment and communicate with clients and deal teams.
- J.D. from an accredited law school and admission, or eligibility for admission, in Washington.

Compensation & Benefits
The stated salary range is $215,000–$290,000, with pay adjusted for job-related factors; eligible full-time employees may also receive an annual discretionary bonus and benefits.
