Our client is seeking a corporate associate with 2–4 years of experience to advise high-growth private and public companies on pivotal transactions and corporate matters. The work spans life sciences, healthcare, and technology, with clients operating in the U.S., Asia, and markets worldwide.
The Work
- Advise venture-backed private companies on equity financings and other corporate transactions as they progress through different stages of growth.
- Contribute to initial public offerings and other registered equity offerings, supporting companies through important capital-raising milestones.
- Work on public-company matters, including ongoing SEC representation and related corporate needs.
- Assist with mergers and acquisitions involving high-growth companies in life sciences, healthcare, and technology.
- Support corporate governance matters for private and public company clients.
- Work across a broad corporate lifecycle, engaging with clients on transactional matters in domestic and international markets.
What You Bring
- Two to four years of experience in corporate and transactional matters.
- Experience across a broad range of lifecycle corporate work.
- Experience with public-company matters and ongoing SEC representation.
- Experience with registered equity offerings.
- Experience with mergers and acquisitions.
- Experience with equity financings and corporate governance is relevant to the work.
- Life sciences company experience is preferred; candidates with a strong interest in life sciences work may also be considered.

Compensation & Benefits
The estimated base salary range is $235,000–$310,000, based on the 2026 Cravath base scale; it is an estimate rather than firm-stated compensation.
