Our client is seeking an experienced transactional tax lawyer to advise on complex domestic and cross-border matters in San Francisco. This opportunity spans major deal types and client sectors, with collaboration across a global tax team of more than 100 lawyers.
The Work
- Advise on tax issues arising in domestic and cross-border mergers and acquisitions, helping clients address tax considerations as transactions are structured.
- Work on partnership tax matters and private equity fund formation, contributing tax analysis for investment and fund structures.
- Support tax aspects of capital markets transactions and financings, developing practical, commercially focused solutions to complex issues.
- Assist a varied client base that includes multinational corporations, financial institutions, private equity funds, domestic corporations, joint ventures, emerging companies, SPACs, and tax-exempt organizations.
- Collaborate with tax lawyers across offices and disciplines on transactional matters and related business issues.
What You Bring
- At least four years of law-firm experience dedicated to transactional tax matters.
- Experience advising on domestic and cross-border M&A tax issues.
- Knowledge of partnership tax and private equity fund formation matters.
- Experience with tax issues in capital markets transactions and financings.
- Ability to analyze complex tax questions and develop practical, commercially focused advice.
- Strong judgment and communication skills for advising clients and collaborating with lawyers across offices and disciplines.

Estimated base compensation is $310,000–$435,000, an estimate rather than firm-stated compensation.
