Position overview

Join a technology-focused legal practice in San Francisco advising on securities compliance and capital-raising matters. This role offers meaningful responsibility across federal and state securities requirements, transaction support, and the preparation and oversight of required filings.

The Work

  • Advise on federal securities-law exemptions, state Blue Sky laws, broker-dealer regulations, and related compliance matters.
  • Prepare and oversee Form D and state securities filings through the NASAA Electronic Filing Depository.
  • Support securities offerings and private company financings, applying relevant federal exemptions and state securities requirements.
  • Assist with investment fund matters and capital markets transactions involving securities-law considerations.
  • Apply rules and exemptions including Regulation D, Section 4(a)(2), Rule 701, Regulation A, and Rule 144 to securities matters.
  • Contribute to other securities matters for technology-focused clients, including assessing applicable state filing requirements.

What You Bring

  • Three to six years of relevant legal experience.
  • Significant experience advising on federal securities-law exemptions and state Blue Sky laws.
  • Experience with broker-dealer regulations and related securities compliance matters.
  • Strong working knowledge of Regulation D, Section 4(a)(2), Rule 701, Regulation A, and Rule 144.
  • Experience preparing and overseeing Form D and state securities filings through the NASAA Electronic Filing Depository.
  • Experience supporting securities offerings, private company financings, investment funds, capital markets transactions, or other securities matters.

Compensation & Benefits

The supplied base-compensation range is an estimate of $260,000–$390,000 based on the 2026 Cravath base scale, not firm-stated compensation.
