Our client is seeking a Pittsburgh-based associate with 3–6 years of experience to advise on employment issues that shape transaction value, leadership continuity, and post-closing integration. This practice combines deal work with strategic counsel on sensitive workforce and executive matters.
The Work
- Support labor and employment diligence for mergers, acquisitions, and private equity investments, identifying workforce matters relevant to transaction risk and value.
- Draft and negotiate executive employment agreements, separation arrangements, and restrictive covenant agreements.
- Advise on executive mobility, including the structuring and enforceability of non-competition and non-solicitation obligations.
- Work with corporate deal teams and private equity sponsors on employment issues that affect transactions and risk allocation.
- Support post-transaction workforce integration, executive transitions, and sensitive personnel matters arising after closing.
- Partner with senior executives and corporate leadership on personnel and governance issues requiring discretion and strategic judgment.
What You Bring
- 3–6 years of experience in employment-related transactional and advisory work.
- Experience supporting labor and employment diligence in M&A transactions or private equity investments.
- Ability to draft and negotiate executive employment, separation, and restrictive covenant agreements.
- Knowledge of executive mobility issues, including non-competition and non-solicitation obligations.
- Sound judgment and discretion when advising on sensitive personnel and governance matters.
- Ability to collaborate effectively with corporate deal teams, sponsors, clients, and senior leadership.
