A Palo Alto opportunity for a corporate associate to advise public companies on the demands of ongoing reporting and governance while participating in significant securities transactions. The Work
- Advise public company clients on SEC reporting obligations, stock exchange compliance, corporate governance, and recurring day-to-day legal questions.
- Support the full range of public company work, connecting ongoing compliance and governance needs with the company’s broader legal matters.
- Represent issuers or investment banks in initial public offerings and follow-on offerings, contributing to securities transactions from the client side of the practice.
- Work on private investments in public equity (PIPEs) and at-the-market (ATM) programs for public company clients.
- Engage directly with a substantial public company client base on both transactional matters and ongoing counseling.
What You Bring
- Three to seven years of corporate law experience.
- Experience with both capital markets transactions and public company reporting and governance.
- Working knowledge of SEC and stock exchange compliance requirements for public companies.
- Experience counseling public companies on day-to-day matters and governance.
- Experience representing issuers or investment banks in IPOs, follow-on offerings, PIPEs, and ATM programs.

Compensation & Benefits
The stated salary range is $260,000–$420,000 based on year classification, and discretionary merit bonuses may be awarded.
