Position overview

Our client is seeking a San Francisco corporate associate with 3–7 years of experience to work across securities offerings and the ongoing needs of public companies. You will advise an active, sophisticated issuer client base, with opportunities to contribute to both significant transactions and practical day-to-day counseling.

The Work

  • Advise public companies on SEC reporting and compliance, stock-exchange requirements, corporate governance, and other day-to-day matters.
  • Represent issuers or investment banks in IPOs, taking part in the work needed to bring companies to the public markets.
  • Work on follow-on offerings for public-company clients and investment-banking participants.
  • Assist with private investments in public equity (PIPEs) and at-the-market (ATM) programs.
  • Build familiarity with a broad public-company client base through a mix of transactional assignments and ongoing reporting, governance, and counseling work.

What You Bring

  • 3–7 years of experience as a corporate associate, including work in capital markets transactions and public-company reporting or governance.
  • Knowledge of SEC and stock-exchange compliance requirements applicable to public companies.
  • Experience advising on corporate governance and day-to-day public-company matters.
  • Experience with securities offerings such as IPOs and follow-on offerings.
  • Familiarity with PIPEs and ATM programs, and the ability to represent issuers or investment banks in transactions.

Compensation & Benefits

The stated salary range is $260,000–$420,000, based on year classification, with discretionary merit bonuses potentially available.
