Our client is seeking a corporate associate with 3–7 years of experience to join its Austin practice. The work combines public company counseling and securities offerings for an active, sophisticated client base that includes more than 300 public company clients.
The Work
- Advise public companies on SEC reporting and compliance requirements, as well as applicable stock exchange rules.
- Support clients on corporate governance matters and provide day-to-day counseling on public company issues.
- Represent issuers or investment banks in initial public offerings, contributing to transactions from preparation through completion.
- Work on follow-on offerings and private investments in public equity (PIPEs) for issuers or investment banks.
- Advise on at-the-market (ATM) programs as part of a practice spanning a range of public company financing needs.
- Handle a combination of ongoing issuer matters and capital markets transactions, engaging with clients across their reporting, governance, and financing work.
What You Bring
- 3–7 years of corporate law experience.
- Experience with both capital markets transactions and public company reporting and governance.
- Ability to handle public company work involving SEC and stock exchange compliance.
- Experience counseling public companies on governance and day-to-day matters.
- Experience representing issuers or investment banks in IPOs, follow-on offerings, PIPEs, and ATM programs.
- Ability to work across a broad range of public company needs, from ongoing compliance and counseling to securities offerings.

Compensation & Benefits
The stated salary range is $260,000–$420,000, based on year classification, and discretionary merit bonuses may also be awarded.
