Our client is seeking a senior attorney with 3–6 years of experience to join its Venture Capital Debt practice within a broader Debt Finance group in Washington, DC. The practice represents borrowers and their investors in venture debt, growth capital, and related financing transactions for early- and late-stage companies.
The Work
- Represent borrowers and their investors in venture debt, growth capital, and similar financing transactions involving companies at early and later stages of development.
- Negotiate and draft loan agreements and related financing documents, working through transaction terms and documentation with deal participants.
- Advise on transaction structures and support matters from initial documentation through execution and closing.
- Coordinate with M&A, corporate, and finance attorneys across Emerging Companies, Life Sciences, M&A, and Venture Capital practices.
- Contribute to internal forms initiatives, helping maintain and develop resources used in the practice.
- Prepare and use AI-driven models to support markups of term sheets, credit agreements, collateral documents, certificates, and customary credit deliverables.
What You Bring
- Three to six years of experience as an attorney in venture debt, growth capital, or similar financing transactions.
- Experience representing borrowers and/or their investors in financing matters for early- and late-stage companies.
- Demonstrated ability to negotiate and draft loan and related transaction documents.
- Knowledge of financing structures and the judgment to advise on transaction terms and documentation.
- Ability to support deal execution and manage transaction work in coordination with clients and attorneys across practice areas.
- Interest or experience in developing forms and applying AI-driven tools to legal document review and markups.
