Our client is seeking a senior attorney with 3–6 years of experience to join its Venture Capital Debt practice within a broader Debt Finance group in San Francisco. The practice represents borrowers and their investors in venture debt, growth capital, and related financing transactions for early- and late-stage companies.
The Work
- Negotiate and draft loan agreements and related financing documents for venture debt, growth capital, and similar transactions.
- Advise borrowers and their investors on financing structures and help develop transaction approaches suited to early- and late-stage company needs.
- Support deal execution from document negotiation through completion, coordinating with clients and relevant deal teams.
- Work closely with M&A, corporate, and finance attorneys across Emerging Companies, Life Sciences, M&A, and Venture Capital practices.
- Contribute to internal forms initiatives to develop and maintain materials used in the practice.
- Use AI-driven models to support markups of term sheets, credit agreements, collateral documents, certificates, and customary credit deliverables.
What You Bring
- 3–6 years of experience as an attorney working on venture debt, growth capital, or similar financing transactions.
- Experience representing borrowers and their investors in financing matters for early- and late-stage companies.
- Ability to negotiate and draft loan and related finance documents.
- Strong understanding of transaction structures and the ability to advise on financing terms and deal execution.
- Experience preparing or reviewing term sheets, credit agreements, collateral documents, certificates, or customary credit deliverables.
- Interest or experience in forms development and applying AI-driven models to document markups.
- Ability to collaborate with attorneys across corporate, finance, M&A, Emerging Companies, Life Sciences, or Venture Capital practices.
