Position overview

Our client is seeking a senior attorney with 3–6 years of experience to join its venture debt practice in Santa Monica. The work centers on representing borrowers and their investors in venture debt, growth capital, and similar financing transactions for early- and late-stage companies.

The Work

  • Represent borrowers and their investors in venture debt, growth capital, and related financing transactions involving early- and late-stage companies.
  • Negotiate and draft loan agreements and related financing documents, including credit agreements, collateral documents, certificates, and customary credit deliverables.
  • Advise on transaction structures and support deal execution from document negotiation through closing.
  • Prepare and contribute to internal forms initiatives, helping develop and refine materials used in recurring financing transactions.
  • Use AI-driven models to support markups of term sheets, credit agreements, collateral documents, certificates, and other customary credit deliverables.
  • Work closely with M&A, corporate, and finance attorneys across emerging companies, life sciences, M&A, and venture capital practices.

What You Bring

  • 3–6 years of relevant legal experience.
  • Experience representing borrowers and their investors in venture debt, growth capital, or similar financing transactions.
  • Experience with financing transactions for early- and late-stage companies.
  • Strong drafting and negotiation capabilities for loan and related credit documents.
  • Ability to advise on financing structures and support transactions through execution.
  • Interest or experience in developing internal forms and using AI-driven models to support document markups.

Compensation & Benefits

Estimated compensation is $260,000–$390,000, based on the 2026 Cravath base scale; this is an estimate and is not firm-stated compensation.
