Our client is seeking a Senior Attorney with 3–6 years of experience to join a venture debt practice in Redwood City. The work centers on representing borrowers and their investors in venture debt, growth capital, and similar financing transactions for early- and late-stage companies.
The Work
- Represent borrowers and their investors in venture debt, growth capital, and related financing transactions for companies at early and later stages of development.
- Negotiate and draft loan agreements and related financing documents, including term sheets, credit agreements, collateral documents, certificates, and customary credit deliverables.
- Advise on transaction structures and support financing matters through deal execution.
- Coordinate with M&A, corporate, and finance attorneys across Emerging Companies, Life Sciences, M&A, and Venture Capital practices.
- Contribute to internal forms initiatives, including the preparation and development of transaction forms.
- Leverage AI-driven models to support the review and markup of term sheets, credit agreements, collateral documents, certificates, and other customary credit deliverables.
What You Bring
- 3–6 years of relevant legal experience, with experience representing borrowers and their investors in venture debt or similar financing transactions.
- Experience with venture debt, growth capital, or other financing transactions for early- and late-stage companies.
- Ability to negotiate and draft loan and related transaction documents.
- Experience advising on financing structures and supporting execution of transactions.
- Familiarity with term sheets, credit agreements, collateral documents, certificates, and customary credit deliverables.
- Interest or experience in developing forms and using AI-driven models to support document review and markups.

Compensation & Benefits
