Our client is seeking a senior attorney with 3–6 years of experience to join its Venture Capital Debt practice within a broader Debt Finance group in Boston. The practice represents borrowers and their investors in venture debt, growth capital, and similar financing transactions for early- and late-stage companies.
The Work
- Represent borrowers and their investors in venture debt, growth capital, and similar financing transactions for companies at early and later stages.
- Negotiate and draft loan agreements and related documents, including credit agreements, collateral documents, certificates, and customary credit deliverables.
- Advise on transaction structures and support financing matters through deal execution, working with clients and members of the deal team.
- Collaborate with M&A, corporate, and finance attorneys across Emerging Companies, Life Sciences, M&A, and Venture Capital practices.
- Contribute to internal forms initiatives, helping prepare and refine forms used in venture debt and related financing work.
- Use AI-driven models to support markups of term sheets, credit agreements, collateral documents, certificates, and other customary credit deliverables.
What You Bring
- 3–6 years of experience in venture debt, growth capital, or similar financing transactions.
- Experience representing borrowers and/or their investors in financing matters for early- and late-stage companies.
- Strong drafting and negotiation capabilities for loan and related financing documents.
- Ability to advise on financing transaction structures and support matters through execution.
- Familiarity with term sheets, credit agreements, collateral documents, certificates, and customary credit deliverables.
- Interest or experience in forms development and applying AI-driven models to document markup workflows.
