Our client is seeking a senior attorney with 3–6 years of experience to join its Venture Capital Debt practice within a broader Debt Finance group. The practice represents borrowers and their investors in venture debt, growth capital, and similar financing transactions for companies at early and later stages.
The Work
- Represent borrowers and their investors in venture debt, growth capital, and related financing transactions, working with clients on financing needs across company stages.
- Negotiate and draft loan documents and related financing agreements, helping advance transactions from documentation through execution.
- Advise on transaction structures for early- and late-stage company financings and address the related legal and deal considerations.
- Support deal execution in coordination with clients and attorneys across corporate, finance, M&A, Emerging Companies, Life Sciences, and Venture Capital practices.
- Contribute to internal forms initiatives, helping prepare and develop forms used in the practice.
- Prepare and support markups of term sheets, credit agreements, collateral documents, certificates, and customary credit deliverables, including through AI-driven models.
What You Bring
- 3–6 years of experience in venture debt, growth capital, or similar financing transactions.
- Experience representing borrowers and/or their investors in financing matters.
- Ability to negotiate and draft loan and related financing documents.
- Knowledge of financing transaction structures and the issues involved in early- and late-stage company financings.
- Experience supporting transaction execution and managing financing documentation.
- Capability to prepare or review term sheets, credit agreements, collateral documents, certificates, and customary credit deliverables.
- Interest or experience in forms development and applying AI-driven models to document markups.
