Position overview

Our client is seeking a San Francisco-based transactional attorney with 3–5 years of experience to advise private equity sponsors on acquisitions, dispositions, and financings, with meaningful responsibility for deal execution and client matters.

The Work

  • Draft, review, and negotiate purchase agreements, shareholder agreements, financing documents, and other materials central to private equity transactions.
  • Conduct detailed legal due diligence and research on potential investment opportunities, identifying issues relevant to transaction planning and execution.
  • Represent private equity sponsors and strategic investors in acquisitions, dispositions, and financing transactions.
  • Lead defined portions of transactions independently, manage deal processes, and coordinate with cross-functional teams to support efficient execution.
  • Advise clients on regulatory compliance, securities matters, and corporate governance considerations arising from transactions and ongoing corporate activity.
  • Assist with structuring and forming private equity funds, and provide continuing guidance on related corporate matters.
  • Support and supervise junior colleagues while monitoring legal developments and practices affecting private equity transactions.

What You Bring

  • Three to five years of legal experience working on private equity transactions.
  • Demonstrated experience representing private equity sponsors; experience representing strategic investors is also relevant.
  • Practical experience with acquisitions, dispositions, and financings, including drafting and negotiating transactional documents.
  • Strong understanding of corporate governance and securities compliance in private equity matters.
  • Experience with legal AI tools and platforms used to support corporate transactions.
  • Juris Doctor from an accredited law school and admission in good standing to practice law in California.
  • Strong legal writing, negotiation, and analytical skills, with the ability to manage priorities in a fast-paced, deadline-driven environment.

Compensation & Benefits

The provided base salary range is an estimate of $260,000–$365,000 based on the 2026 Cravath scale, not firm-stated compensation.
