Position overview

Advise private equity sponsors and strategic investors on transactions that move from investment analysis through negotiation and execution. This New York opportunity spans acquisitions, dispositions, financings, and the corporate and regulatory issues that accompany private equity deals.

The Work

  • Draft, review, and negotiate purchase agreements, shareholder agreements, financing documents, and other materials supporting private equity transactions.
  • Conduct detailed diligence and research on potential investment opportunities, identifying issues relevant to deal structure and execution.
  • Represent private equity sponsors and strategic investors in acquisitions, dispositions, and financings, with responsibility for leading portions of transactions independently.
  • Manage deal processes and coordinate with cross-functional teams to help transactions progress efficiently from diligence through closing.
  • Advise clients on regulatory compliance, corporate governance, and securities matters arising in private equity transactions and ongoing corporate work.
  • Assist with structuring and forming private equity funds, and provide ongoing guidance on clients’ corporate transactions.
  • Support and supervise junior colleagues while monitoring relevant industry trends, legal developments, and practices.

What You Bring

  • Three to five years of legal experience working on private equity transactions.
  • Substantial experience representing private equity sponsors in acquisitions, dispositions, and financings.
  • Experience representing strategic investors is also relevant.
  • Strong transactional drafting, negotiation, and analytical skills, including experience with purchase, shareholder, and financing documents.
  • Working knowledge of corporate governance and securities compliance in private equity deals.
  • Practical experience with and familiarity with legal AI tools and platforms used to handle corporate transactions.
  • Ability to manage priorities independently and work effectively in a fast-paced, deadline-driven environment.
  • Juris Doctor degree from an accredited law school and admission in good standing to practice law in New York.

Compensation & Benefits

The supplied compensation estimate is $260,000–$365,000, derived from the 2026 Cravath base scale; it is an estimate and not firm-stated compensation.
