Our client is seeking a Chicago-based attorney with 3–5 years of experience to work on private equity transactions for sponsors and investors. The position combines hands-on deal execution with opportunities to manage transaction processes, advise clients, and contribute to the development of junior colleagues.
The Work
- Draft, review, and negotiate transaction documents, including purchase agreements, shareholder agreements, and financing documents.
- Represent private equity sponsors in acquisitions, dispositions, and financings, taking independent ownership of assigned portions of transactions.
- Conduct diligence and research on potential investments, and help clients assess issues that affect transaction structure and execution.
- Advise clients on regulatory compliance, corporate governance, and securities matters arising in private equity transactions and ongoing corporate work.
- Assist with structuring and forming private equity funds and support clients' broader corporate transaction needs.
- Coordinate with cross-functional teams, manage deal processes, and support junior colleagues' professional development.
What You Bring
- Three to five years of legal experience working on private equity transactions.
- Experience representing private equity sponsors and, preferably, strategic investors.
- Practical experience with acquisitions, dispositions, and financings in a private equity context.
- Strong understanding of corporate governance and securities compliance in private equity deals.
- Demonstrated ability to draft and negotiate transactional documents and perform detailed legal analysis.
- Practical familiarity with legal AI tools and platforms used to handle corporate transactions.
- Juris Doctor degree from an accredited law school and admission in good standing to practice in Illinois.
- Ability to manage competing priorities and work effectively in a fast-paced, deadline-driven environment.

Compensation & Benefits
The estimated base compensation range is $260,000–$365,000, based on the 2026 Cravath base scale; this is an estimate rather than firm-stated compensation.
