A confidential Boston opportunity for a mid-level transactional lawyer to advise private equity sponsors and other investors across acquisitions, dispositions, and financings. Take meaningful ownership of deal work, lead transaction processes, and contribute to related fund, governance, and securities matters.
The Work
- Represent private equity sponsors in acquisitions, dispositions, and financing transactions, with responsibility for driving assigned workstreams and helping move deals toward completion.
- Draft, review, and negotiate purchase agreements, shareholder agreements, financing documents, and other transaction materials.
- Conduct detailed legal due diligence and research on prospective investment opportunities, identifying issues relevant to transaction structure and execution.
- Advise clients on regulatory compliance, corporate governance, and securities matters arising in private equity transactions and ongoing corporate work.
- Assist with structuring and forming private equity funds, alongside transactional work for sponsors and investors.
- Manage deal processes and independently lead portions of transactions, coordinating with cross-functional colleagues to support efficient execution.
- Work with private equity and strategic investors on transaction matters and provide ongoing guidance on corporate issues.
- Support junior colleagues’ professional development and apply practical familiarity with legal AI tools to corporate transaction work.
What You Bring
- Three to five years of legal experience working on private equity transactions.
- Experience representing private equity sponsors and familiarity with representing strategic investors.
- Strong understanding of corporate governance and securities compliance in private equity deals.
- Experience drafting, reviewing, and negotiating transactional documents, including purchase, shareholder, and financing agreements.
- Ability to conduct detailed diligence and legal analysis and provide clear, practical advice on transactional issues.
- Practical experience with and familiarity with legal AI tools and platforms used to handle corporate transactions.
- Juris Doctor degree from an accredited law school and admission in good standing to practice law in Massachusetts.
- Ability to manage priorities independently and work effectively in a fast-paced, deadline-driven environment.

Compensation & Benefits
