Position overview

Our client is seeking an associate with 3+ years of experience to join its Private Equity Group in Philadelphia. The role offers exposure to a broad range of corporate and transactional matters, with opportunities to contribute as part of deal teams and independently manage components of transactions.

The Work

  • Work on mergers and acquisitions, managing assigned components of transactions independently while collaborating with the broader deal team.
  • Contribute to leveraged recapitalizations, taking responsibility for transaction components and coordinating with internal and external participants.
  • Support growth equity transactions, applying corporate and transactional experience across matters for private equity clients.
  • Work on venture capital transactions and exits, contributing to matters across different stages of investment and liquidity activity.
  • Handle equity compensation matters as part of a broad corporate and transactional practice.
  • Manage relationships and communications with internal and external clients and counsel throughout assigned matters.

What You Bring

  • At least 3 years of relevant legal experience.
  • Experience with private equity and a broad range of corporate and transactional matters.
  • Experience working collaboratively as part of transaction teams.
  • Ability to manage components of transactions independently.
  • Experience with mergers and acquisitions, leveraged recapitalizations, growth equity, venture capital transactions, exits, and equity compensation.
  • Proactive approach, strong business sense, and excellent communication skills.
  • Ability to effectively manage relationships with internal and external clients and counsel.

Compensation & Benefits

Estimated base compensation is approximately $260,000 based on the 2026 Cravath base scale; this is an estimate, not firm-stated compensation.
