Our client is seeking a Private Equity associate with at least three years of experience to join its Philadelphia practice. The role centers on asset management M&A and offers exposure to a range of corporate and transactional matters.
The Work
- Support asset management M&A transactions, managing assigned components and coordinating with deal teams and relevant stakeholders through the course of a matter.
- Contribute to GP stakes transactions, an area of particular interest for this search.
- Work on mergers and acquisitions and leveraged recapitalizations, taking responsibility for defined transaction components.
- Assist with growth equity and venture capital transactions, including exits, as part of a broader corporate practice.
- Handle matters involving equity compensation and related transactional work.
- Build effective working relationships with internal and external clients and counsel, using clear communication to support matter progress.
- Contribute both as a collaborative member of transaction teams and through independent management of assigned work.
What You Bring
- At least three years of relevant legal experience as a Private Equity associate.
- Demonstrated experience in asset management M&A.
- Experience with GP stakes transactions is preferred.
- A broad background in corporate and transactional matters, including mergers and acquisitions.
- Ability to work collaboratively on teams and independently manage components of transactions.
- Proactive approach, strong business sense, and excellent communication skills.
- Ability to manage internal and external client and counsel relationships effectively.

Compensation & Benefits
Estimated base compensation is approximately $260,000 based on the 2026 Cravath base scale; the figure is an estimate, not firm-stated compensation.
