Position overview

Our client is seeking a mid-level associate with 3–6 years of experience to join its Debt Finance group in Santa Monica. The practice represents private equity sponsors, banks, and private credit lenders in financing transactions, including leveraged buyouts, acquisition financings, and corporate growth financings.

The Work

  • Represent private equity sponsors, banks, and private credit lenders in connection with term and revolving loan facilities.
  • Work on debt financing for leveraged buyouts, supporting transactions from financing documentation through negotiation.
  • Contribute to acquisition financings for clients pursuing business purchases and related transactions.
  • Assist with corporate growth financings involving term and revolving credit facilities.
  • Draft and negotiate commitment papers that document proposed financing terms.
  • Draft and negotiate credit agreements and collateral documents for financing transactions.

What You Bring

  • 3–6 years of relevant legal experience.
  • Experience representing private equity sponsors, banks, and/or private credit lenders in debt finance matters.
  • Experience with term and revolving loan facilities.
  • Familiarity with leveraged buyouts, acquisition financings, and corporate growth financings.
  • Ability to draft and negotiate commitment papers.
  • Ability to draft and negotiate credit agreements and collateral documents.

Compensation & Benefits

The supplied compensation figure is an estimate of $260,000–$390,000 based on the 2026 Cravath base scale, not firm-stated compensation.
