Our client is seeking a junior associate with 3–6 years of experience to join its Debt Finance group in Philadelphia. The practice represents private equity sponsors, banks, and private credit lenders in a range of leveraged and corporate financing transactions.
The Work
- Represent private equity sponsors and/or banks and private credit lenders in financing transactions, working on matters from financing documentation through negotiation.
- Advise on term and revolving loan facilities supporting leveraged buyouts, including preparation and negotiation of the core financing documents.
- Support acquisition financings by drafting and negotiating credit agreements, commitment papers, and related transaction documents.
- Work on corporate growth financings, addressing the financing terms and documentation required for the transaction.
- Draft and negotiate collateral agreements and related deliverables, helping document and implement the agreed financing arrangements.
What You Bring
- 3–6 years of experience in debt finance or a closely related transactional practice.
- Experience representing private equity sponsors and/or banks or private credit lenders in financing transactions.
- Experience with term and revolving loan facilities for leveraged buyouts, acquisition financings, and corporate growth.
- Working knowledge of credit agreements and commitment papers.
- Demonstrated ability to draft and negotiate collateral agreements and related financing deliverables.

Compensation & Benefits
Estimated compensation is $260,000–$390,000, based on the 2026 Cravath base scale; this is an estimate rather than firm-stated compensation.
