Position overview

Our client is seeking a junior associate with 3–6 years of experience to join its debt finance practice in San Francisco. The associate will represent private equity sponsors and/or banks and private credit lenders in financing transactions, including leveraged buyouts, acquisition financings, and corporate growth financings.

The Work

  • Represent private equity sponsors, banks, and private credit lenders in connection with term and revolving loan facilities.
  • Support financing arrangements for leveraged buyouts, including the development and negotiation of transaction documentation.
  • Work on acquisition financings and corporate growth financings for borrowers and lenders.
  • Draft and negotiate credit agreements and commitment papers for debt finance transactions.
  • Prepare and negotiate related collateral agreements and other transaction deliverables.

What You Bring

  • Three to six years of experience in debt finance or a closely related practice.
  • Experience representing private equity sponsors and/or banks or private credit lenders in financing transactions.
  • Experience with term and revolving loan facilities.
  • Experience working with credit agreements and commitment papers.
  • Demonstrated drafting and negotiation experience involving collateral agreements and related deliverables.
  • Exposure to leveraged buyouts, acquisition financings, and/or corporate growth financings.

Compensation & Benefits

The estimated salary range is $260,000–$390,000, based on the 2026 Cravath base scale; this figure is an estimate, not firm-stated compensation.
