Our client is seeking a junior associate with 3–6 years of experience to join its debt finance practice in Santa Monica. The role focuses on representing private equity sponsors and/or banks and private credit lenders in financing transactions, including leveraged buyouts, acquisition financings, and corporate growth financings.
The Work
- Represent private equity sponsors and/or banks and private credit lenders in connection with debt financing transactions.
- Work on term and revolving loan facilities supporting leveraged buyouts, acquisition financings, and corporate growth.
- Draft, review, and negotiate credit agreements and commitment papers for financing transactions.
- Draft and negotiate related collateral agreements and prepare associated transaction deliverables.
- Support sponsor-side and lender-side matters across financing documentation and execution, depending on transaction needs and the associate’s experience.
What You Bring
- 3–6 years of experience in debt finance or a closely related practice.
- Experience representing private equity sponsors, banks, and/or private credit lenders in financing transactions.
- Experience with term and revolving loan facilities for leveraged buyouts, acquisition financings, and/or corporate growth financings.
- Familiarity with credit agreements and commitment papers.
- Ability to draft and negotiate collateral agreements and related financing deliverables.
- Strong transactional drafting and negotiation skills appropriate to the associate’s level of experience.

Compensation & Benefits
Estimated compensation is $260,000–$390,000, based on the 2026 Cravath base scale; this is an estimate and is not firm-stated compensation.
