Position overview

Our client is seeking a junior associate with 3–6 years of experience to join its Debt Finance practice in Washington, DC. The role focuses on representing private equity sponsors and/or banks and private credit lenders in leveraged and corporate financing transactions.

The Work

  • Represent private equity sponsors, banks and private credit lenders in term and revolving loan facility financings.
  • Work on financing transactions for leveraged buyouts, including the preparation and negotiation of the related loan documentation.
  • Advise on acquisition financings, working through financing terms and documents for transactions involving acquisitions.
  • Support corporate growth financings, including facilities structured to meet companies’ financing needs.
  • Draft and negotiate credit agreements and commitment papers for sponsor- and lender-side clients.
  • Draft and negotiate related collateral agreements and other transaction deliverables, coordinating the documentation needed to complete financings.

What You Bring

  • 3–6 years of relevant experience as a junior associate in debt finance or a closely related practice.
  • Experience representing private equity sponsors and/or banks and private credit lenders in financing matters.
  • Experience with term and revolving loan facilities for leveraged buyouts, acquisition financings and corporate growth financings.
  • Working experience with credit agreements and commitment papers.
  • Demonstrated drafting and negotiation experience involving financing documentation.
  • Experience drafting and negotiating related collateral agreements and transaction deliverables.

Compensation & Benefits
