Position overview

Our client is seeking a senior attorney to join its New York corporate practice in an off-track Of Counsel role. This opportunity combines substantial responsibility for complex deal execution with direct client contact and room to develop relationships through an entrepreneurial, independent approach.

The Work

  • Advise corporate clients and private equity funds on acquisitions, dispositions, minority investments, and similar transactions.
  • Manage transactions with significant ownership, coordinating deal work and moving matters forward with a high degree of independence.
  • Draft and negotiate transaction documents, applying a strong understanding of corporate law and market terms.
  • Counsel clients on general corporate matters alongside transactional assignments.
  • Work directly with clients throughout matters and contribute to developing and strengthening client relationships.

What You Bring

  • Senior attorney with a class year of 2015 or later, or an attorney already operating at the Of Counsel level.
  • Significant experience handling mergers and acquisitions transactions.
  • Strong understanding of corporate law and market terms.
  • Substantial experience drafting transaction documents and effectively managing deals.
  • Ability to take on a high level of responsibility and work autonomously.
  • Driven, business development-oriented approach and interest in developing client relationships.

Compensation & Benefits

Stated annual compensation begins at $470,000, with the salary offered depending on qualifications and operational considerations, and discretionary performance-based bonuses are available.
