Our client is seeking a 3–5 year attorney to advise on government contracts and grants within a National Security practice in Washington, DC. The position combines counseling on federal awards and funding programs with a role in M&A and financing transactions.
The Work
- Advise clients on government contract and grant terms, compliance obligations, and administration.
- Assist with negotiation of prime contracts, subcontracts, and teaming agreements.
- Counsel deal teams, clients, and investors on government contracts and grants issues in M&A and financing transactions.
- Support transaction diligence and novation matters involving government contracts and grants.
- Work alongside National Security colleagues handling related areas that include foreign investment, export controls, sanctions, FCC, and FAA matters.
What You Bring
- 3–5 years of experience in government contracts and grants.
- Experience with OTAs, SBA and SBIR rules, GSA/FSS programs, and financial assistance agreements.
- Ability to advise on contract and grant compliance, administration, and terms.
- Experience assisting with negotiation of prime and subcontract agreements and teaming arrangements.
- Capability to advise on government contracts and grants issues in M&A and financing transactions, including diligence and novations.
- In-house experience is highly desirable; experience in foreign investment, export controls, sanctions, FCC, or FAA matters is welcome.
- Strong academic credentials, excellent communication skills, and the ability to work well as part of a team.

Compensation & Benefits
The stated salary range is $260,000–$365,000 based on year classification, with discretionary merit bonuses potentially available.
