Position overview

Our client is seeking a Corporate & Private Equity Associate with 3–6 years of experience to join its Pittsburgh practice. The team handles a broad range of private equity transactions and fund formation matters, representing sponsors, general partners, limited partners, and other participants in private capital markets.

The Work

  • Support private equity transactions, including leveraged buyouts, independent sponsor transactions, rollups, minority investments, and junior capital investments.
  • Contribute to going-private transactions and purchases of troubled companies, including acquisitions involving companies in or outside bankruptcy.
  • Work on the formation of private equity, growth equity, venture capital, mezzanine, and real estate funds.
  • Assist with matters for emerging managers and other general partners establishing and operating investment funds.
  • Support representation of significant limited partners in fund matters, gaining exposure to investor-side priorities.
  • Work across a corporate and private equity department of more than 90 attorneys with practices spanning a range of private capital transactions.

What You Bring

  • 3–6 years of experience in corporate, private equity, or related transactional practice.
  • Experience or demonstrated knowledge of private equity transactions, including leveraged buyouts or other private capital investments.
  • Familiarity with transaction structures such as independent sponsor deals, rollups, minority investments, or junior capital investments.
  • Interest or experience in forming private equity, growth equity, venture capital, mezzanine, or real estate funds.
  • Ability to contribute to matters involving sponsors, general partners, limited partners, or portfolio and target companies.
  • Exposure to distressed-company acquisitions, going-private transactions, or bankruptcy-related purchases is relevant to the practice.
