Our client is seeking a New York associate to advise large-scale public and private companies on complex mergers and acquisitions. The position offers involvement throughout the transaction lifecycle, combining detailed diligence and document work with client counseling on deal structures, legal risks, and strategic considerations.
The Work
- Review financial statements, contracts, and other materials to assess acquisition targets and identify legal risks.
- Oversee due diligence for merger and acquisition transactions, coordinating information review and follow-up across relevant stakeholders.
- Draft and negotiate merger agreements, asset purchase agreements, confidentiality agreements, and other transaction documents.
- Advise clients on transaction structures, strategic considerations, and legal risks through the stages of a deal.
- Research and analyze legal issues involving mergers and acquisitions, including contract, securities, and regulatory considerations.
- Communicate with clients, counterparties, and regulators, and coordinate with internal and external stakeholders to support compliance.
- Prepare and review related legal documents, including opinions, memoranda, and presentations; use AI tools responsibly for research, document review, and workflow efficiency.
What You Bring
- Three to six years of demonstrated mergers and acquisitions experience, including work on high-stakes transactions for large-scale public and private companies.
- Current experience at a large law firm handling complex M&A matters.
- Juris Doctor from an accredited law school and admission to practice law in New York.
- Strong knowledge of contract law, securities law, and relevant regulatory frameworks.
- Demonstrated ability to draft and negotiate complex legal documents, including transaction agreements.
- Strong analytical, organizational, problem-solving, written, and verbal communication skills.
- Ability to manage multiple transactions and competing deadlines while maintaining professional integrity and a commitment to client service.
- Proficiency in using AI technologies responsibly and ethically.
