Position overview

Our client is seeking a Boston-based attorney with 3–6 years of M&A experience to advise large-scale public and private companies on complex transactions. This role offers meaningful responsibility across diligence, deal documentation, client counseling, and coordination with stakeholders throughout the transaction process.

The Work

  • Review financial statements, contracts, and other materials to assess acquisition targets and identify legal risks and diligence issues.
  • Oversee due diligence for merger and acquisition transactions, coordinating information review and follow-up with internal and external stakeholders.
  • Draft and negotiate merger agreements, asset purchase agreements, confidentiality agreements, and other transaction documents.
  • Advise clients on deal structures, legal risks, and strategic considerations as transactions progress.
  • Communicate with clients, counterparties, and regulators, and help ensure compliance with applicable laws, regulations, and industry practices.
  • Research M&A legal issues and prepare opinions, memoranda, and presentations to support client decisions and transaction execution.
  • Use AI technologies responsibly and ethically to assist with research, document review, and workflow efficiency.

What You Bring

  • Three to six years of demonstrated mergers and acquisitions experience.
  • Experience representing large-scale public and private companies in high-stakes transactions.
  • Currently practicing at a large law firm.
  • Juris Doctor degree from an accredited law school.
  • Admission to practice law in Massachusetts.
  • Strong knowledge of contract law, securities law, and applicable regulatory frameworks.
  • Demonstrated ability to draft and negotiate complex legal documents.
  • Strong analytical, organizational, problem-solving, verbal, and written communication skills, including the ability to manage multiple transactions and deadlines.
  • Ability to use AI technologies responsibly and ethically, with a commitment to professional integrity and client service.
