Our client is seeking a mid-level corporate associate with 3–6 years of experience to join a Houston transactions practice. The work spans mergers and acquisitions, private equity, cross-border deals, and energy transactions, with associates involved throughout the deal lifecycle.
The Work
- Assist with structuring, financing, negotiating, and executing mergers, acquisitions, divestitures, and other business combinations across multiple industries.
- Draft and negotiate purchase agreements, ancillary transaction documents, closing documents, and related instruments.
- Support private equity firms, independent sponsors, and private companies on leveraged buyouts, platform acquisitions, add-on investments, and other corporate transactions.
- Advise legal and business teams from deal inception through closing on domestic and cross-border transactions, including Canada-U.S. matters.
- Work on energy transactions involving power asset acquisitions and dispositions, joint ventures, project development, and related financings.
- Gain exposure to power assets and projects involving nuclear, gas-fired, solar, wind, and other alternative fuel sources, as well as oil and gas matters.
- Conduct due diligence and coordinate with multidisciplinary teams across practice areas.
- Assist with general corporate advisory work for private company clients.
What You Bring
- Three to six years of experience in corporate transactions, mergers and acquisitions, or a closely related practice.
- Experience supporting transactions from structuring and negotiation through signing and closing.
- Strong drafting and negotiation capabilities, including experience with purchase agreements and ancillary documents.
- Knowledge of private equity or independent sponsor transactions, including leveraged buyouts or platform and add-on acquisitions.
- Interest or experience in energy transactions, including power, renewable energy, or oil and gas matters.
- Ability to support domestic and cross-border transactions and coordinate diligence across teams.
- Experience advising private companies on general corporate matters is valuable.
