Our client is seeking a full-time M&A Associate with 3–5 years of relevant experience to join its transaction practice in Palo Alto. This is a dedicated M&A role, not a general corporate position, with work on public and private company mergers and acquisitions and other strategic transactions for companies in technology and life sciences.
The Work
- Serve as an integral associate on public and private company mergers and acquisitions, taking ownership of assigned transaction workstreams from diligence through execution.
- Draft and negotiate definitive transaction agreements and related deal documents, contributing to the development and completion of strategic transactions.
- Conduct and coordinate due diligence, identify issues for the deal team, and help prepare disclosure letters responsive to transaction requirements.
- Coordinate with subject-matter experts to gather and integrate advice across relevant areas of a transaction.
- Assist in managing client relationships throughout a deal, communicating on workstreams and helping move transactions forward.
- Work on strategic transactions involving companies in the technology and life sciences sectors.
What You Bring
- 3–5 years of relevant M&A experience, with experience in one or more of public company M&A, private company M&A, or other strategic transactions.
- Experience serving as an integral associate on M&A transactions and contributing to their management and execution.
- Experience drafting definitive transaction agreements.
- Experience assisting with due diligence, disclosure letters, and coordination with subject-matter experts.
- Ability to assist in managing client relationships during strategic transactions.
- Superior academic credentials and/or law firm experience.
- Excellent verbal, written, and interpersonal skills.
- Commitment to a full-time M&A practice rather than a general corporate role.

Compensation & Benefits
The stated salary range is $260,000–$365,000 based on year classification, with discretionary merit bonuses potentially available.
