A Washington, D.C. litigation and enforcement team is seeking an associate with 2–4 years of relevant experience to work across antitrust issues in corporate transactions and government investigations. The position offers hands-on responsibility for merger reviews, investigative responses, and client-facing advocacy.
The Work
- Conduct antitrust due diligence for mergers and acquisitions, assess deal- and conduct-related risks, and help lead the antitrust review process.
- Coordinate client interviews and discussions with opposing counsel, and advise corporate clients and internal transaction teams on antitrust issues.
- Prepare and review legal documents addressing antitrust aspects of corporate transactions and counsel on compliance with antitrust laws and regulations.
- Manage Second Request compliance and responses to compulsory process in investigations by the FTC, DOJ, and state antitrust authorities.
- Develop agency advocacy, including drafting white papers and presentations, and prepare clients for investigational hearings and depositions.
- Represent clients in consent negotiations, other agency negotiations, hearings, and litigation.
- Train and mentor junior associates while contributing to matters involving both transactional antitrust analysis and government enforcement.
What You Bring
- 2–4 years of relevant experience advising corporate clients on antitrust laws and regulations.
- Experience conducting pre-merger antitrust due diligence and assessing antitrust risks.
- Strong knowledge of current antitrust laws, regulations, and government investigation procedures.
- Experience with Second Request compliance and defending corporate clients in antitrust investigations by the FTC, DOJ, and/or state authorities.
- Strong written communication skills, including the ability to prepare clear legal and advocacy materials.
- Interpersonal skills to work routinely with clients and internal transaction teams.
- Strong analytical and negotiation skills.
- Admission to practice in the District of Columbia; experience at the FTC or DOJ Antitrust Division is preferred.
