Our client is seeking a mid-level associate with 3–4 years of experience to work on life sciences intellectual property licensing, technology transfer, and related technology transactions. The position also supports corporate matters through IP and technology transaction due diligence.
The Work
- Draft and negotiate intellectual property licenses, including patent and trademark licenses, for life sciences matters.
- Prepare and negotiate joint development, collaboration, and other strategic alliance agreements.
- Handle technology licenses and services agreements, including software-as-a-service agreements.
- Draft and negotiate distribution agreements and other commercial arrangements involving technology or intellectual property.
- Conduct intellectual property and technology transaction due diligence in support of corporate transactions in the life sciences arena.
- Advise on technology transfers and related licensing issues across a range of transaction types.
- Work on agreement and diligence matters involving client needs and deal requirements, taking responsibility for substantive workstreams.
What You Bring
- Three to four years of relevant legal experience, with direct experience in licensing strongly preferred.
- Experience with intellectual property licensing, technology transfer, and other technology transactions.
- Demonstrated ability to draft and negotiate IP licenses, including patent and trademark licenses.
- Experience with joint development, collaboration, or strategic alliance agreements.
- Familiarity with technology licenses and services agreements, including SaaS arrangements, and distribution agreements.
- Experience performing IP and technology transaction due diligence for corporate transactions.
- Life sciences sector experience is important; adjacent experience may be considered, with the greatest weight given to experience directly aligned with licensing responsibilities.

Compensation & Benefits
The estimated base compensation range is $260,000–$310,000, based on the 2026 Cravath base scale; this is an estimate rather than firm-stated compensation.
