Position overview

Our client is seeking a mid-level associate with 3–4 years of experience to join its Life Sciences group in Boston. The role focuses on intellectual property licensing, technology transactions and technology transfer, including IP support for corporate transactions in the life sciences arena.

The Work

  • Draft and negotiate intellectual property licenses, including patent and trademark licenses, for life sciences matters.
  • Prepare and negotiate joint development, collaboration and other strategic alliance agreements involving technology and intellectual property.
  • Work on technology licenses and services agreements, including software-as-a-service agreements.
  • Draft and negotiate distribution agreements and other technology-related commercial arrangements.
  • Conduct intellectual property and technology transaction due diligence in support of corporate transactions in the life sciences arena.
  • Support technology transfers and assess relevant IP and technology arrangements as part of transaction diligence.

What You Bring

  • 3–4 years of experience, with direct experience in licensing strongly aligned to the role’s core responsibilities.
  • Experience with intellectual property licensing and technology transactions, including technology transfer.
  • Experience drafting and negotiating IP licenses, including patent and trademark licenses.
  • Experience with joint development, collaboration or other strategic alliance agreements.
  • Experience with technology licenses and services agreements, including SaaS, and/or distribution agreements.
  • Experience conducting IP and technology transaction due diligence for corporate transactions.
  • Relevant experience in adjacent fields may be considered, though direct licensing experience is most closely aligned.

Compensation & Benefits

The stated compensation figure is an estimate of $260,000–$310,000 based on the 2026 Cravath base scale; it is not firm-stated compensation.
