Position overview

Our client is seeking a mid-level associate with 3–4 years of experience to join its Life Sciences group in Redwood City. The role centers on intellectual property licensing, technology transfer, and technology transactions, with additional support for corporate transactions in the life sciences arena.

The Work

  • Draft and negotiate intellectual property licenses, including patent and trademark licenses, and address the transaction terms central to these agreements.
  • Prepare and negotiate joint development, collaboration, and other strategic alliance agreements for life sciences matters.
  • Work on technology licenses and services agreements, including software-as-a-service arrangements.
  • Draft and negotiate distribution agreements as part of a broad licensing and technology transactions practice.
  • Support technology transfers and assess the IP and technology transaction issues that arise in those matters.
  • Conduct intellectual property and technology transaction due diligence for corporate transactions in the life sciences arena.

What You Bring

  • 3–4 years of legal experience, with direct experience in licensing strongly preferred.
  • Experience with intellectual property licensing, technology transfer, and other technology transactions.
  • Demonstrated experience drafting and negotiating IP licenses, including patent and trademark licenses.
  • Experience with joint development, collaboration, or strategic alliance agreements.
  • Experience with technology licenses and services agreements, including SaaS, and/or distribution agreements.
  • Experience conducting IP and technology transaction due diligence in support of corporate transactions is valuable.
  • Experience in adjacent fields may be considered, though direct licensing experience is most closely aligned with the role.

Compensation & Benefits

The estimated salary range is $260,000–$310,000, based on the 2026 Cravath base scale; it is an estimate rather than firm-stated compensation.
